Terms and conditions

Effective October 7, 2026 · Spencer Morley Consulting, Edmonton, Alberta

These terms govern your use of spencermorleyconsulting.ca and its related domains (including discoverabilityindex.ca) (the "Site") and, where a separate services agreement isn't in place, your engagement of Spencer Morley Consulting ("SMC", "we", "us"). By using the Site or engaging our services, you agree to these terms. This page is a plain-language summary, not legal advice for your specific situation. If you need that, talk to a lawyer.

Use of this Site

The content on this Site, including our AI Adoption Policy template, resources, and glossary, is provided for general informational purposes. You may view, download, and use it for your own organization's reference. You may not resell it, republish it as your own, or represent it as legal, financial, or professional advice tailored to your situation.

No professional advice

Nothing on this Site constitutes legal, financial, privacy-compliance, or other professional advice. Our AI consulting work, including anything described as policy or compliance support, helps you build practical AI governance and adoption capacity. It does not substitute for a licensed lawyer's review of your specific legal obligations under applicable legislation (including ATIA, POPA, PIPA, FOIPPA, FIPPA, LAFOIP, MFIPPA, or PIPEDA), or a licensed accountant's or financial advisor's review of your finances.

Engaging our services

Where we provide paid services, such as strategic communications, crisis management, fractional PIO capacity, AI readiness assessments, or AI consulting, the scope, deliverables, timeline, and fees for that engagement are set out in a separate proposal, statement of work, or signed agreement between SMC and the client. Where any term in that document conflicts with this page, the signed agreement governs.

Intellectual property

Unless otherwise noted, the content, design, and materials on this Site are owned by Spencer Morley Consulting. Client logos shown on this Site (for example on our Our Clients page) are used with permission to identify past and current client relationships and remain the property of their respective owners.

No warranty

This Site and its content are provided "as is." We work to keep information accurate and current, but AI governance, privacy legislation, and platform capabilities change quickly. Verify anything time-sensitive or jurisdiction-specific before you rely on it, and confirm compliance requirements with qualified legal counsel.

Limitation of liability

To the extent permitted by law, Spencer Morley Consulting is not liable for any indirect, incidental, or consequential loss arising from your use of this Site or its content. This does not limit any liability that can't lawfully be excluded, and it does not apply to obligations set out in a signed services agreement, which governs separately.

Links to other sites

This Site links to third-party resources (for example, legislation, government pages, or partner tools) for convenience. We don't control and aren't responsible for the content or practices of those sites.

Privacy

How we handle personal information, including analytics and advertising, is set out in our privacy policy, which forms part of these terms.

Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles.

Changes to these terms

We may update these terms from time to time. Material changes will update the effective date above. Continued use of the Site after a change means you accept the revised terms.
